Stakeholder theory emerges as one of the main theoretical approaches in the field of strategic management, opposing shareholder theory by proposing that organizations should consider the interests of all groups affected by their activities. This article aims to conduct a bibliographical review of the conceptual foundations, developments, and main criticisms of stakeholder theory. Works by seminal authors such as Freeman, Donaldson, Preston, Mitchell, Agle, and Wood were analyzed, as well as more recent contributions on value perception and sustainability. The results reveal that, although the theory offers a relevant framework for organizational management, challenges persist regarding the operationalization of balancing interests among the parties involved, especially in light of the intrinsic conflict with shareholder primacy.
